Terms of Service.

The rules for using Farmer-Switch — written so they make sense whether you are a smallholder farmer dialing *789# or a multinational off-taker on the dashboard.

01 The agreement

These Terms of Service ("Terms") form a binding contract between you and Oxylane Digital Solutions. ("Farmer-Switch", "we", "us"). They apply whenever you use our USSD short code *789#, our mobile apps, our web dashboard, our APIs or any other Farmer-Switch service (together, the "Platform").

By creating an account, dialing *789#, or otherwise using the Platform, you accept these Terms. If you do not agree, do not use the Platform.

Plain-language summary

You can use Farmer-Switch to buy, sell, borrow, insure and organise. We connect you to other actors but we are not party to the deals you make with them. Be honest, follow the law, pay your fees, treat others well — and we will all be fine.

02 Eligibility

  • You must be at least 18, or the age of majority in your country, whichever is higher.
  • If you sign up on behalf of a business, cooperative, lender, insurer or other organisation, you confirm you have authority to bind that entity to these Terms.
  • You must not be barred from using the Platform under any sanctions or export-control law.

03 Your account

Registration

You are responsible for the accuracy of the information you provide. Identity verification (KYC) is required before you can transact, borrow or sell insurance. We may refuse, suspend or close any account at our reasonable discretion — for example, if KYC fails or activity looks fraudulent.

Credentials

Keep your PIN, password and one-time codes secret. You are responsible for activity on your account, including USSD sessions initiated from your registered phone number, unless you have reported the device or SIM as lost/stolen. To do so, dial *789*9# or call our hotline immediately.

One person, one account

Each individual may hold one personal account. Organisations may operate one master account with multiple authorised users. Creating duplicate accounts to game scoring or promotions is prohibited.

04 Roles & responsibilities

Farmer-Switch is a multi-sided marketplace. Your obligations depend on your role.

Market agentDisclose commissions; not represent both sides without consent; comply with applicable brokerage law.
Loan providerHold any required lending licence; disclose APR, fees and recovery terms upfront; lend responsibly.
Insurance providerHold any required underwriting licence; honour valid claims promptly; disclose all policy terms.
Input providerSell only authentic, registered inputs; disclose batch numbers and expiry; refund counterfeit or damaged products.
CooperativeHave valid authority from members for the actions you take on their behalf; manage member ledgers honestly.
Off-takerPay according to contract; not retroactively change quality specs; report ESG and traceability data accurately.

05 Transactions between users

When you accept a listing, contract, loan or policy through the Platform, you enter into a binding agreement directly with the other user. Farmer-Switch is not a party to that agreement. We provide tools — escrow, dispute resolution, traceability — but the underlying obligation to deliver, pay or insure rests with the contracting users.

Unless escrow is explicitly enabled, you handle delivery, acceptance and payment between yourselves. Where escrow is enabled, funds are held by our licensed payments partner and released on confirmation of delivery.

06 Fees & payments

  • Farmer USSD & app access — free of platform fees. Standard mobile-network charges may apply for USSD sessions and SMS.
  • Marketplace transaction fee — a small percentage of completed trades, disclosed at the time of listing or acceptance.
  • Lender, insurer, input-provider & off-taker subscriptions — published on your dashboard and billed monthly or annually.
  • Payment-processing fees — passed through at cost from our payments partners.

All fees are exclusive of taxes unless stated. Fee schedules can change with 30 days' notice. By continuing to use the Platform after a fee change, you accept the new schedule.

07 Loans, insurance & financial products

Farmer-Switch is not a bank, lender or insurer. Loans and policies are issued by licensed third-party institutions you select on the Platform. Their terms govern the financial product; we surface those terms but are not responsible for them.

Credit scores generated on the Platform are decision-support tools — not guarantees of approval. You may request human review of any automated decision that materially affects you.

08 Your content

You retain ownership of what you upload — photos of produce, listings, contracts, messages. You grant Farmer-Switch a worldwide, non-exclusive, royalty-free licence to host, display, transmit and (in aggregated, anonymised form) analyse that content for the purpose of operating and improving the Platform.

You confirm you have the rights to everything you upload, and that it does not violate anyone else's rights or applicable law.

09 Prohibited conduct

You must not:

  • Misrepresent your identity, your produce, your inputs or your financial standing.
  • Sell counterfeit, banned, expired or unsafe products.
  • Manipulate prices, ratings, scores or matching algorithms.
  • Use the Platform to launder money, finance terrorism or evade sanctions.
  • Scrape, crawl, reverse-engineer or otherwise interfere with the Platform.
  • Harass, threaten or discriminate against other users.
  • Use the Platform to send unsolicited bulk messages or malware.

We may remove content, suspend accounts, claw back fees or report you to the authorities if you breach these rules.

10 Intellectual property

Farmer-Switch, the logo, the *789# short code branding, and the design and code of the Platform are owned by us or our licensors. You may not copy, modify or use them except as needed to use the Platform normally. Feedback you send us may be used by us without restriction or compensation.

11 Third-party services

Some features rely on third parties — mobile-network operators, payment processors, weather-data and satellite providers, identity-verification vendors. Their performance affects yours. We choose partners carefully and pass through their assurances where we can, but we are not responsible for their independent acts or omissions.

12 Availability & changes

We aim for high availability but the Platform is provided "as available". We may schedule maintenance, throttle abusive use, or change features. We will give reasonable notice of material changes that affect you.

13 Disputes between users

For disputes between you and another user, first try to resolve it directly. If you cannot, open a case via the Platform. Our dispute team will review evidence — GPS-stamped delivery records, quality photos, communications — and propose a resolution within 14 days. Resolutions are advisory unless both parties agreed in advance to be bound (for example, in escrow-backed deals).

14 Liability

To the maximum extent allowed by law, Farmer-Switch is not liable for indirect, incidental, special or consequential damages — including lost harvest, lost profits, lost data or reputational harm — arising from your use of the Platform.

Our total liability for any claim is capped at the greater of (a) the fees you paid Farmer-Switch in the 12 months before the claim arose, or (b) USD 100. This cap does not apply to liability that cannot be excluded by law (for example, fraud or wilful misconduct).

15 Termination

You can close your account at any time via the dashboard, the app, or by dialing *789*9*1#. We can suspend or close your account if you breach these Terms, if KYC cannot be completed, or if continuing to provide service to you would breach the law. Obligations that by their nature should survive — fees owed, indemnities, intellectual-property terms — survive termination.

16 Governing law & jurisdiction

These Terms are governed by the laws of the Republic of Zambia, without regard to conflict-of-laws rules. Disputes you have with us go first to good-faith negotiation, then to mediation in Lusaka, and only then to the courts of Lusaka — except where local consumer-protection law gives you a non-waivable right to use your home courts.
